End-User Licence Agreement and Terms of Use

The conditions that apply when an authorized user accesses or uses the S2S Systems Manager.

Agreement and authorized users

These End-User Licence Agreement and Terms of Use (“Terms”) govern access to and use of the S2S Systems Manager (the “Application”), provided by Seed to Sausage Corporation (“Seed to Sausage,” “we,” “us,” or “our”).

The Application is an internal business system. You may use it only if Seed to Sausage has authorized you to do so. By accessing or using the Application, you agree to these Terms. If you do not agree, do not use the Application.

Licence

Subject to these Terms, Seed to Sausage grants each authorized user a limited, non-exclusive, non-transferable, revocable licence to access and use the Application solely for approved Seed to Sausage business purposes. No ownership interest in the Application is transferred to you.

Accounts and security

You must use your own assigned account, keep your sign-in information confidential, and promptly report suspected unauthorized access or security incidents. You are responsible for activity performed through your account except to the extent caused by a failure of Seed to Sausage systems.

You must provide accurate information, use the permissions assigned to your role, and sign out or otherwise secure the Application when it is not in use.

Acceptable use

You must not:

  • access records, functions, or accounts beyond your authorization;
  • use the Application for unlawful, fraudulent, or personal purposes;
  • introduce malicious code, interfere with security, or disrupt the Application;
  • copy, modify, reverse engineer, decompile, or attempt to extract source code except where applicable law expressly permits it; or
  • export, disclose, or misuse confidential, personal, customer, product, inventory, financial, or operational information.

Records and user responsibilities

The Application supports inventory, production, receiving, fulfilment, invoicing, and related business processes. Authorized users are responsible for checking the accuracy and completeness of information they enter, approve, export, or rely on.

The Application may use defaults, calculations, mappings, or information from connected services. Before completing a consequential action, users must review the relevant customer, product, quantity, lot, tax, price, shipping, and accounting information.

QuickBooks Online

The Application may connect to QuickBooks Online through services provided by Intuit. Use of QuickBooks Online is also subject to Intuit’s applicable terms and privacy practices. Intuit is an independent third party and is not responsible for the Application.

When the Application creates an invoice in QuickBooks Online, the invoice is saved for review. The user must verify the invoice in QuickBooks, including the customer, invoice number, line items, quantities, prices, taxes, dates, and terms, before sending it or treating it as final. Seed to Sausage remains responsible for its accounting decisions and records.

Availability of the connection depends on Intuit’s services, authorization, configuration, and application programming interfaces. We may change or discontinue the connection if required for security, compliance, or operational reasons.

Ownership and confidentiality

The Application, its software, design, documentation, and related intellectual property are owned by Seed to Sausage or its licensors. Business records remain subject to Seed to Sausage’s ownership, confidentiality, privacy, records-management, and employment requirements.

You must protect confidential information accessed through the Application and use it only for your authorized work.

Availability and changes

We may maintain, update, change, suspend, or discontinue all or part of the Application. We aim to keep it reliable, but availability may be interrupted by maintenance, security events, service-provider outages, internet failures, or circumstances beyond our reasonable control.

Disclaimer and limitation of liability

To the extent permitted by applicable law, the Application is provided “as is” and “as available,” without warranties that it will be uninterrupted or error-free. Nothing in these Terms excludes a right or remedy that cannot lawfully be excluded.

To the extent permitted by applicable law, Seed to Sausage and its directors, officers, employees, and licensors are not liable for indirect, incidental, special, consequential, or punitive damages arising from use of or inability to use the Application. This limitation does not apply where liability cannot lawfully be limited.

Suspension and termination

Seed to Sausage may suspend or terminate access when authorization ends, these Terms are breached, an account poses a security or operational risk, or suspension is otherwise reasonably necessary. On termination, you must stop using the Application and return or delete confidential information as directed, subject to lawful records requirements.

Governing law and general terms

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. The courts of Ontario have jurisdiction, subject to any mandatory legal rights.

If a provision is unenforceable, the remaining provisions continue in effect. A failure to enforce a provision is not a waiver. These Terms, together with applicable Seed to Sausage policies and written authorizations, form the agreement governing use of the Application.

Changes and contact

We may update these Terms when the Application, connected services, or legal requirements change. The current version will be posted on this page with its effective date. Continued use after an update means you accept the revised Terms, subject to applicable law.
